Terms and Conditions of Use
Quotes
All prices quoted by CSB-Battery Canada (NICA-Power Battery Corp.)  either by mail, fax, e-mail, or verbal are valid for a period of 30 days from date of quote. All deliveries quoted are subject to change at time of order confirmation. CSB-Battery Canada (NICA-Power Battery Corp.)  has the right to substitute product to our equivalent product code.

Specifications
CSB-Battery Canada (NICA-Power Battery Corp.)  reserves the right to modify published specifications and construction of products referred. All cell specifications are subject to cell manufacture terms and conditions and are subject to change without notice.

Prices, Taxes and Currency
All prices are quoted in Canadian funds, unless otherwise specified. Prices exclude all taxes, delivery and insurance charges. All taxes are considered extra unless signed documentation is received by CSB-Battery Canada (NICA-Power Battery Corp.)  at time of order.

Ordering Procedure
Minimum order requirements $50.00, CSB-Battery Canada (NICA-Power Battery Corp.)  has the right to change orders to reflect box or case quantities. All verbal orders not confirmed by mail, fax or email will be assumed correct by our documentation only. All replacement purchases must specify CSB-Battery Canada (NICA-Power Battery Corp.)  part number, customer's part number, and unit item is to be used in, which should include manufacturer, model and serial number. Custom manufactured items or items not considered part of CSB-Battery Canada (NICA-Power Battery Corp.)  stock rotation may require prepayment before items are manufactured or purchased.

Shipments
All items will be shipped ground, prepaid and charged on invoice unless otherwise advised by customer. Unless otherwise specified in writing, delivery of product ordered shall be F.O.B. point of shipment. Backorders will be shipped Destination unless otherwise advised at time of order. In all cases title shall pass to the customer immediately upon delivery to carrier. Risk of loss or damaged goods in transit shall fall upon customer whose responsibility it will be to file claims with the carrier.

Insurance - Freight
All shipments have a minimum value for insurance of up to $ 100.00 Canadian Funds per shipment. Extra Insurance will be the responsibility of the customer on collect shipments. Insurance is assumed not taken unless authorized by the customer.

Engineering and Development Charges
All engineering development and tooling charges remain the exclusive property of CSB-Battery Canada (NICA-Power Battery Corp.)  regardless of any charge made to customer to cover Labour and expenses involved in making or altering such drawings, tools jigs, etc.

Changes and Cancellations
Order delivery changes or cancellations will be determined by product lead-time and availability at time of order and may be subject to a restocking charge.

Terms of Payment
Unless credit terms are approved, all orders are either payment on delivery or payment at time of order. First time orders may require Visa or MasterCard authorization until credit terms are approved. Entry of credit card information, either verbally or electronically will be assumed authorized for all transactions pertaining to that customer whether individual or company. Extra charges such as freight or restocking may be added to credit card payment. Terms of payment are effective from the date of invoice and conditions set to at time of order. Each shipment in partial fulfillment of an order shall be deemed a separate and independent order. If customer fails to fulfill the terms CSB-Battery Canada (NICA-Power Battery Corp.)  has the right to change payment terms, and/or defer, discontinue further shipments, without prejudice to any other lawful remedy, until past due payments are made and satisfactory assurances of customer's credit standing are received. Payments by credit card must be made at time of shipment or are subject to finance charges from date of shipment.

Warranty
CSB-Battery Canada (NICA-Power Battery Corp.)  will replace any product that proves to be defective in material or workmanship for the life of the product. All products will perform as per the specifications outlined by the product manufacturer. Any deviation or special handling of the product must have written consent by the manufacture through CSB-Battery Canada (NICA-Power Battery Corp.)  for each devise the product is used in. Battery inquiry sheets are available from CSB-Battery Canada (NICA-Power Battery Corp.)  to specify specific use of the product. All product replaced under warranty will be prorated to time of original shipment. CSB-Battery Canada (NICA-Power Battery Corp.)  warranty is limited only to the repair and replacement of parts and necessary labour required to repair the battery. In no event shall CSB-Battery Canada (NICA-Power Battery Corp.)  be liable for incidental, consequential special or indirect damages including loss of business profits.

Return Merchandise Policy
Contact a CSB-Battery Canada (NICA-Power Battery Corp.)  customer service agent in order to ensure proper satisfaction for your return. Authorized returns are valid for and must be returned within 30 days of the date of authorization. Ship returns goods via a carrier authorized by CSB-Battery Canada (NICA-Power Battery Corp.)  All items must be returned prepaid. No collect or third party billing is authorized. If goods are deemed to be at fault then CSB-Battery Canada (NICA-Power Battery Corp.)  will credit your account with our standard freight charge for the item returned. Damages, shortages, or incorrect items must be reported to CSB-Battery Canada (NICA-Power Battery Corp.)  within 10 days from date of shipment. Goods not ordered correctly by customer, or delivery refused will be subject to a restocking charge of a minimum of 20%. Goods not supplied correctly by CSB-Battery Canada (NICA-Power Battery Corp.)  will not be subject to a restocking charge and standard freight charges will be credited. All extra freight charges, which may include air, insurance or other delivery options, are not credited. Custom manufactured items or items not considered part of CSB-Battery Canada (NICA-Power Battery Corp.)  stock rotation, may be subject to higher restocking charges, which may or may not be limited to extra costs incurred by CSB-Battery Canada (NICA-Power Battery Corp.)  from its suppliers. CSB-Battery Canada (NICA-Power Battery Corp.)  will analyze items returned and then proper procedure determined, either full replacement, credit, less applicable restocking charges, freight or handling charges. Items returned by customer must be deemed resalable by CSB-Battery Canada (NICA-Power Battery Corp.)  or subject to restocking charges, or items will be returned to customer. Items purchased as replacement for items being returned can be subject to restocking charges if the original item is determined by CSB-Battery Canada (NICA-Power Battery Corp.)  to be in good working order.

Return Merchandise Procedure
Customer must contact CSB-Battery Canada (NICA-Power Battery Corp.)  for a RETURN AUTHORIZATION NUMBER. Customer must show Return Authorization Number on all cartons and any documents pertaining to this return. A return request form may be sent to the customer to outline reason for the return, and items must be returned along with the completed return request form if sent. Authorized CSB-Battery Canada (NICA-Power Battery Corp.)  freight carrier must return product. Only items originally requested may be returned. The return is then received by CSB-Battery Canada (NICA-Power Battery Corp.)  and will be analyzed on an item-by-item basis. This procedure may take up to 2 weeks to perform.

Errors
Typographic or clerical errors are subject to correction.

Laws
CSB-Battery Canada (NICA-Power Battery Corp.)  is a private corporation in the Province of Ontario, Canada. All laws of the Province of Ontario will govern these terms and conditions. We reserve the right to make changes to terms and conditions at any time.

General The terms and conditions set out by this agreement will constitute the only contract between Customer and Seller. Verbal or written confirmation of Customer's purchase order or acceptance of goods will in the absence of written confirmation constitute acceptance of the terms and conditions of sale.
